Terms & Conditions
Terms for using the TECH360 website and engaging TECH360 LLC for custom digital services. Effective 29 October 2026.
1. Acceptance of Terms
These Terms & Conditions (Terms) apply to the TECH360 website and to services provided by TECH360 LLC (TECH360, we, us). By using the website or requesting services, you agree to the applicable Terms. If you do not agree, do not use the website. Mandatory rights under applicable law remain unaffected. A project agreement may add to or vary these Terms for that project.
2. Company and Service Overview
TECH360 LLC provides custom software development, websites and eCommerce, CRM systems, AI-assisted applications, business and workflow automation, API integrations, technical consulting, and deployment, documentation, or support services when agreed. Website descriptions are general information, not a guarantee of availability, results, or suitability for a particular purpose.
3. Service Descriptions and Project-Specific Agreements
A project-specific written agreement and approved Scope of Work (SOW) define the deliverables, price, schedule, revision allowance, payment milestones, support, and ownership or licence terms. A website description, proposal draft, or preliminary discussion does not replace that approval.
4. Scope of Work and Written Approval
The SOW should identify included and excluded work, acceptance criteria, dependencies, deliverables, fees, estimated timing, payment schedule, revisions, ownership or licence terms, and included support as applicable. Work is authorized only after the parties approve the applicable SOW through an agreed written method. Changes require a documented change request and approval of any price or schedule impact.
5. HTML Preview and Project Commencement
An HTML Preview is supplied before the applicable project payment only where it is included in the agreed process. Approval confirms the visual design and elements actually shown; it does not, by itself, establish that backend functions, production integrations, security testing, or deployment are complete. TECH360 may first review the Client's business, existing website, marketing channels, or workflow and prepare a proposal when that discovery is agreed. A proposal or preview is not a binding commitment until the SOW is approved. Project commencement and any payment due are governed by the agreed process and SOW; an identical preview or payment sequence is not promised for every project.
6. Client Responsibilities
The Client will provide accurate requirements, authorized decisions, lawful content and materials, timely feedback, and access or dependencies identified in the SOW. The Client is responsible for having rights to supplied materials and for decisions about their business, regulated activities, and use of deliverables. Client delays or unavailable third-party services may affect timing.
7. Quotations, Invoices, and Payments
Quotes are valid for the period stated in them, or if none is stated, subject to written confirmation by TECH360. The applicable quotation, invoice, and approved SOW determine fees, currency, taxes and fees (if applicable), payment method and schedule; no universal percentage or payment provider is promised. Payment is treated as received only after TECH360 can reasonably verify that funds have cleared, using available transaction records and confirmation from the relevant provider or financial institution. A screenshot, payment instruction, or pending transfer alone is not conclusive proof of cleared funds. Clients must use a payment method they are authorized to use. If a payment is made using another person's card or payment account, TECH360 may reasonably request evidence that the legitimate account holder authorized the transaction. An email address or statement from the Client alone does not conclusively establish cardholder identity or consent. If a material authorization concern remains unresolved, TECH360 may pause commencement, further work, or handover while it investigates, consistent with the agreement, applicable law, and payment-provider rules. A third-party payment is not automatically fraudulent. Unless otherwise agreed in writing, final source-code handover takes place after all required project payments have been received and cleared. Any suspension or withholding of work or delivery must follow the approved agreement and applicable law.
8. Changes to Scope and Additional Work
Requests outside the approved SOW may require a written estimate, additional fees, and schedule changes. TECH360 will not treat silence as approval of additional paid work. Work on a change begins after the parties approve the change through the agreed written method.
9. Intellectual Property and Licensing
Ownership of custom deliverables, and the point at which ownership transfers, are governed by the approved agreement and applicable law. Unless agreed otherwise, Client-provided materials remain the Client's or its licensors' property. TECH360 retains its pre-existing tools, reusable components, know-how, and materials, granting only the licence specified in the agreement. Third-party and open-source components remain subject to their own licences; not every licence or account is transferable.
10. Delivery and Acceptance
Delivery items, method, estimated dates, review process, and acceptance criteria are project-specific. TECH360 records delivery where reasonably practicable. The Client should identify a specific alleged mismatch against the SOW and provide reasonable details so it can be reviewed. Review or acceptance does not waive non-waivable rights or remedies for material non-conformity or non-delivery.
11. Refunds and Cancellations
Cancellation and refund reviews take account of the agreement, work completed, approved milestones, authorized non-recoverable expenses, payments received, and applicable law and provider rules. Once the agreed deliverables have been completed and delivered in accordance with the approved Scope of Work, payments for that properly completed work are generally non-refundable merely because the Client changes their mind or decides not to use the deliverables. This does not exclude any refund or remedy required by applicable law, the project agreement, or relevant payment-provider rules. A Client's decision not to use the work, change in business strategy, choice of another provider, or failure to achieve business results that were never expressly guaranteed does not alone create a refund entitlement, subject to those applicable rights and terms. See the Refund Policy for the review process. No deposit is categorically refundable or non-refundable in every case.
12. Confidentiality and Security
Each party should protect the other party's non-public information with reasonable care and use it only for the engagement or other agreed purposes. The Client must not send passwords, payment-card security codes, private tokens, or unnecessary sensitive personal data through ordinary email or website forms. Any specific security, data-processing, or confidentiality commitments must be agreed in the project contract.
13. Third-Party Services and Dependencies
Projects may depend on hosting, payment, email, AI, analytics, social media, API, or other third-party services. Their availability, terms, fees, privacy practices, and technical limitations are controlled by those providers. TECH360 is not responsible for their independent acts or outages, subject to obligations that cannot lawfully be excluded.
14. Warranties and Support
Any warranty, defect-correction period, response target, maintenance, hosting, or support is only as stated in the SOW or a separate agreement. TECH360 will address reported material non-conformity in accordance with that agreement and applicable law. No business, revenue, ranking, or other outcome is guaranteed unless expressly stated in an approved agreement.
15. Suspension and Termination
Either party may exercise termination rights stated in the project agreement or available under applicable law. TECH360 may pause affected work where reasonably necessary for overdue or unverified payments, unresolved payment authorization concerns, missing Client inputs, security risk, or a material breach, but only consistent with the agreement and applicable law. The parties will address payment for completed work and authorized expenses as the agreement and law require.
16. Limitation of Liability
To the extent permitted by applicable law and subject to the project agreement, neither party is liable for indirect or consequential loss that was not reasonably foreseeable. Any monetary cap or exclusion applies only to the extent legally enforceable. Nothing limits liability that cannot lawfully be limited, including applicable mandatory consumer protections.
17. Dispute Resolution and Governing Law
The parties should first try to resolve a project concern through good-faith written discussion. Any governing-law, venue, or dispute-resolution term must be set by the applicable signed agreement and remain subject to mandatory laws and forums that apply to the Client or transaction. These Terms do not displace non-waivable protections or establish an exclusive forum where law prohibits it.
18. Policy Changes
We may revise these Terms as services or requirements change. The effective date will be updated. Changes apply prospectively unless applicable law or an express agreement requires otherwise; the version incorporated in an existing project agreement remains subject to that agreement.
